Social Mention Discount Terms

These Terms govern the Decorner Social Mention Discount (the "Offer"), provided by Decorner Furniture Boutique ("Decorner," "we," "us," or "our"). By checking the consent box on the application form and submitting it, you ("you") agree to these Terms.
This is not the Creator & Designer Program. You earn no commission, no royalty, and no payment of any kind under these Terms. You receive one personal discount in exchange for posting about your Decorner furniture. If you would rather earn commission by sharing a code with your audience, apply to the Creator & Designer Program instead.
1. What you get
1.1. If we approve your application, we will issue you a personal, one-time discount code for a single purchase at decornerfurnitureboutique.com.
1.2. The discount percentage is set individually. We decide the amount for each person at the time of approval, based on factors we choose — which may include your audience, your content, the room or pieces you plan to feature, and current availability. We do not promise any particular percentage, and the percentage offered to one person implies nothing about what another person receives or will receive.
1.3. Your code is single-use and personal to you. It works on one order and then stops working. You may not share it, publish it, sell it, or transfer it to anyone else, including family, friends, or followers. Publishing your code does not entitle anyone else to use it.
1.4. One code per order; no stacking. Only one discount code may be applied to any order. Your code does not combine with any other discount code, promotion, or sitewide sale, and does not apply to items already marked down, clearance items, gift cards, delivery or white-glove service fees, taxes, or other non-merchandise charges. Certain brands or product lines may be excluded where supplier pricing agreements require it.
1.5. The code expires if unused within the period stated when we send it. We may change, suspend, or deactivate a code at any time before it is used.
2. What you agree to do
2.1. Post about your Decorner furniture within thirty (30) days of delivery. At minimum, one public post or video on the social account you named in your application, showing or clearly discussing the furniture you purchased, and identifying Decorner by name or by tagging our account.
2.2. Disclose that you received a discount. This is a legal requirement, not a preference. Under the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) — and equivalent rules in most other countries — receiving a discount in exchange for a post is a material connection that your audience must be told about.
A compliant disclosure is clear, unambiguous, and placed where your audience will actually see it before engaging with the content. Acceptable examples: "Decorner gave me a discount on this," "#ad," or "discount received from Decorner." It must not be hidden behind a "more" link, buried among unrelated hashtags, placed only in your profile bio, rendered in low-contrast or tiny text, or stated only in a video description when the claim is made out loud.
You are responsible for your own compliance and for any penalty, claim, or enforcement action arising from your failure to disclose.
2.3. Keep the post up for at least thirty (30) days from the date you publish it.
2.4. Be honest. Your post must reflect your actual experience and honest opinion. You are not required to be positive, and we will not ask you to remove or alter a negative post. You may not, however, make factual claims about our products, pricing, availability, warranties, delivery times, or services beyond what is published on our website or supplied by us in writing — including inventing specifications, materials, dimensions, or origin claims.
2.5. Keep it lawful and appropriate. Your post must not be unlawful, defamatory, harassing, hateful, sexually explicit, violent, discriminatory, or otherwise likely to bring Decorner into disrepute, and must comply with the terms of the platform you post on.
2.6. You must own, or be the authorized operator of, the social account you named in your application.
3. If you don't post
3.1. The discount is given in exchange for the post described in Section 2. If you do not publish a qualifying post within thirty (30) days of delivery, we may:
(a) ask you once, in writing, to publish it within a further fourteen (14) days; and (b) if you still do not, invoice you for the value of the discount you received — that is, the difference between what you paid and the regular price of the items — payable within thirty (30) days.
3.2. We will not reverse a charge, cancel your order, repossess furniture, or withhold delivery over a missing post. Your purchase is a completed sale and your consumer rights in it are unaffected.
3.3. We will not pursue the amount in Section 3.1(b) where you were prevented from posting by illness, bereavement, platform outage, account loss, or other circumstances outside your reasonable control. Tell us and we will work it out.
4. Your content
4.1. You keep ownership of everything you post.
4.2. You grant Decorner a non-exclusive, worldwide, royalty-free, sublicensable license to reproduce, display, adapt, and distribute the posts you publish about your Decorner furniture, across our website, email, social media, paid advertising, and in-store displays, with credit to your handle where practical.
4.3. If you want a specific post excluded from paid advertising, tell us in writing and we will honor that going forward.
4.4. If you delete a post after we have already used it in materials that cannot practically be recalled (printed collateral, a running ad flight), we will stop new uses promptly but are not obliged to recall what is already distributed.
4.5. We may ask you to correct or remove a post that breaches these Terms. You will act within five (5) business days of our request.
5. Brand use
We grant you a limited, revocable, non-exclusive, non-transferable license to use the Decorner name and logo solely to identify us in posts made under these Terms. You may not alter our logo, imply you speak for Decorner, or register any domain, handle, business name, or trademark containing "Decorner" or anything confusingly similar.
6. Relationship, and what this is not
6.1. You are an independent customer. These Terms create no employment, agency, partnership, or joint venture, and give you no authority to act for Decorner.
6.2. You receive no commission, revenue share, royalty, or payment under these Terms. The discount is the entire consideration.
6.3. Nothing here is exclusive. You may post about other brands, including competitors.
6.4. Taxes. A discount received in exchange for promotional activity may be treated as taxable in some jurisdictions. You are solely responsible for determining and meeting any tax obligation arising from it. We do not withhold, report, or advise on your taxes. If applicable law requires us to collect a tax form or identification number from you, you will provide it on request.
7. Your information
7.1. What we collect. The information you submit in your application (name, social handle, email address, telephone number, and any optional details), a record of your acceptance of these Terms including the date, time, version accepted, and IP address, and the discount code and order associated with you.
7.2. Why. To evaluate your application, issue and monitor your code, check that the agreed post was made, communicate with you, meet our accounting and legal obligations, and keep evidence of your agreement.
7.3. Who we share it with. Service providers who help us run this — our e-commerce platform, database and hosting providers, and email provider — only as needed. We may disclose where required by law or in connection with a merger or sale of assets. We do not sell your personal information.
7.4. International transfers. Decorner operates in the United States. If you participate from outside the United States, your information will be transferred to and processed in the United States and in other countries where our service providers operate, which may have different data protection laws than your own. By participating you consent to that transfer.
7.5. Retention and your rights. We keep application and consent records as long as needed for legal, tax, and recordkeeping purposes and to resolve disputes. Depending on where you live, you may have rights to access, correct, delete, or obtain a copy of your information, and to withdraw consent — contact us at the address in Section 10. Some records, including consent and tax records, may need to be retained even after you withdraw.
7.6. Our general website Privacy Policy applies in addition to this Section; where they conflict as to this Offer, this Section governs.
8. Eligibility
You must be at least eighteen (18) years old and able to enter a binding contract. The Offer is open worldwide, except where we are legally unable to transact with you — including any country or territory subject to comprehensive United States economic sanctions, and any person on an applicable restricted-party list.
9. Disclaimers and limits
9.1. The Offer is provided "as is." We make no promise that you will be approved, that any particular discount will be offered, or that the Offer will continue to exist.
9.2. To the maximum extent permitted by law, Decorner will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Offer, and our total aggregate liability relating to the Offer will not exceed the value of the discount you received or one hundred U.S. dollars ($100), whichever is greater.
9.3. Nothing in these Terms affects your rights as a purchaser of the furniture itself — including warranties, returns, delivery obligations, and any non-waivable consumer protection rights. Those are governed by our ordinary store policies and applicable law.
9.4. Some jurisdictions do not allow certain exclusions or limitations. Where that is so, they apply only to the extent permitted, and nothing here limits liability that cannot lawfully be limited.
10. General
10.1. Changes. We may modify these Terms. Changes apply prospectively and never to a discount already issued to you.
10.2. Termination. Either of us may end this arrangement at any time by written notice. Sections 2.2, 3, 4, 6.4, 7, 9, and 10 survive. Ending it does not cancel an obligation to post that arose from a discount you already used.
10.3. Governing law and venue. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The state and federal courts in San Diego County, California have exclusive jurisdiction, and you consent to jurisdiction and venue there, wherever you are located. Where the mandatory law of your own country gives you a right that cannot be waived by contract, this Section does not purport to waive it.
10.4. Informal resolution first. Before filing any action, contact us and try in good faith to resolve the dispute informally for at least thirty (30) days.
10.5. Assignment, severability, waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. If a provision is unenforceable, it is limited or severed to the minimum extent necessary and the rest stands. Our failure to enforce a provision is not a waiver of it.
10.6. Entire agreement. These Terms are the entire agreement between you and Decorner regarding the Offer and supersede prior discussions about it.

11. Electronic Signature and Consent to Electronic Records
11.1. By checking the consent box and submitting the application form, you:
(a) confirm you have read, understood, and agree to be bound by these Terms; (b) agree that checking the box is your electronic signature, with the same legal effect as a handwritten signature, under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act as adopted in California — and, if you are outside the United States, under the equivalent electronic-transactions law of your own jurisdiction to the extent it applies; (c) consent to receive all records, notices, and disclosures relating to this Offer electronically, by email and through our website, rather than on paper; (d) confirm you are at least eighteen (18) years old; and (e) confirm the information you submitted is accurate and that you own or are authorized to operate the social account you named.
11.2. What we record as evidence. At submission we record the version of these Terms as presented to you, the exact text of the consent statement you accepted, the date and time of submission, and the IP address you submitted from. You may request a copy of that record at any time at the address in Section 10.7.
11.3. Hardware and software you need. To access and retain these records you need a device with an internet connection, a current web browser, an active email account, and the ability to view and save PDF or HTML documents. If our requirements change in a way that materially limits your ability to access records, we will notify you and give you the chance to withdraw your consent without penalty.
11.4. Paper copy and withdrawal. You may request a free paper copy of these Terms, or withdraw your consent to electronic records, by writing to us at the address in Section 10.7. Because this Offer is administered entirely electronically, withdrawing that consent ends your participation. Withdrawal is prospective only and does not affect the validity of records or transactions completed before we process it.
11.5. Keeping your contact details current. We send notices to the email address in your application. Tell us if it changes.
