Creator & Designer Program Agreement
Back to the programVersion 1.0 — Effective October 6, 2026
This Agreement governs participation in the Decorner Creator & Designer Program (the "Program"), operated by Decorner Furniture Boutique ("Decorner," "we," "us," or "our"). By checking the consent box on the Program application form and submitting that form, you ("you," "Creator," or "Participant") agree to be bound by this Agreement.
1. Eligibility
The Program is open to creators and designers worldwide. Your location does not affect your eligibility or your Commission rate, subject only to Section 1.5.
To participate in the Program you must:
1.1. Be at least eighteen (18) years of age and legally able to enter into a binding contract.
1.2. Own, or be the authorized operator of, each social media account, website, or channel you submit in your application.
1.3. Provide accurate, current, and complete information in your application, and keep your contact and payment information up to date.
1.4. Comply with all applicable laws, regulations, and the terms of service of every platform on which you promote Decorner, including the advertising, consumer-protection, and influencer-disclosure rules of your own country where those are stricter than Section 4.
1.5. Be able to receive payment lawfully. We cannot enroll or pay participants located in, or ordinarily resident in, any country or territory subject to comprehensive United States economic sanctions or export restrictions, or any person appearing on an applicable restricted-party list. We also cannot enroll you if our payment provider is unable to deliver funds to your country. If this changes while you participate, your membership ends automatically and we will pay any Commission already earned only to the extent lawfully permitted.
We may decline any application, and may require additional information before approving one, at our sole discretion. Submitting an application does not create a Program membership. You become a Participant only when we notify you of approval and issue your personal discount code.
2. Relationship of the Parties
2.1. You participate in the Program as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship.
2.2. You have no authority to make representations, warranties, commitments, or agreements on Decorner's behalf, or to bind Decorner in any way.
2.3. You are solely responsible for your own business expenses, equipment, taxes, and any insurance or licenses applicable to your activities.
2.4. Nothing in this Agreement is exclusive. You may promote other brands, including competitors, and we may engage any number of other creators, designers, affiliates, or marketing partners.
3. Your Personal Discount Code
3.1. On approval we issue you a unique discount code entitling your audience to fifteen percent (15%) off eligible purchases at decornerfurnitureboutique.com (your "Code").
3.2. Your Code is personal to you and non-transferable. You may share it publicly with your audience. You may not sell it, license it, or transfer it to another person or business for independent use.
3.3. Where you may not distribute your Code. You may not submit, post, or syndicate your Code to: coupon, deal, discount, cashback, or voucher websites or browser extensions; bargain-hunting forums or subreddits; or any channel whose primary purpose is aggregating discount codes. Sales traced to such distribution earn no Commission and may result in termination.
3.4. Paid advertising restrictions. You may not bid on, or purchase advertising against, the terms "Decorner," "Decorner Furniture," "Decorner Furniture Boutique," our domain names, or confusingly similar variations or misspellings, on any search engine, marketplace, or advertising platform. You may not run advertising that impersonates Decorner, appears to originate from Decorner, or directs traffic to a URL designed to resemble ours.
3.5. One code per order; no stacking. Only one discount code may be applied to any order. Your Code does not stack or combine with any other discount code, promotion, or sitewide sale, and does not apply to items already marked down, clearance items, gift cards, delivery or white-glove service fees, taxes, or other non-merchandise charges. Certain brands or product lines may be excluded where supplier pricing agreements require it.
3.6. Self-purchases. You may use your own Code for personal purchases, but your own orders do not generate Commission and do not count toward your monthly sales volume.
3.7. We may change, suspend, deactivate, or reissue your Code at any time, including to correct abuse or to reflect changes in the Program. We will give you reasonable notice before deactivating a Code except where immediate action is needed to stop misuse.
4. Required Disclosure of Your Relationship With Us
4.1. This section is a legal requirement, not a courtesy. Under the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), you must clearly and conspicuously disclose your material connection to Decorner in every piece of content in which you promote Decorner, share your Code, or feature our products.
4.2. A compliant disclosure is clear, unambiguous, and placed where your audience will actually see it before engaging with the content. Acceptable examples include "#ad," "#sponsored," "Paid partnership with Decorner," or a plain statement such as "I earn a commission on purchases made with my code."
4.3. Disclosures must not be hidden behind a "more" link, buried among unrelated hashtags, placed only in a profile bio, rendered in low-contrast or tiny text, or stated only in a video description where the claim is made verbally. On video and audio content, disclose both visually and verbally where the format allows. Platform-native tools (for example, Instagram's "Paid partnership" label) are encouraged but do not by themselves satisfy this section.
4.4. You are responsible for your own compliance, and for any penalty, claim, or enforcement action arising from your failure to disclose. Repeated or uncorrected failure to disclose is grounds for immediate termination and forfeiture of unpaid Commission.
5. Content Standards and Brand Use
5.1. We grant you a limited, revocable, non-exclusive, non-transferable, royalty-free license to use the Decorner name, logo, product images, and marketing assets we provide, solely to promote Decorner products during the term of this Agreement. All goodwill arising from that use belongs to Decorner.
5.2. You may not alter, distort, or recolor our logo, combine it with other marks, or use it in a way suggesting you are Decorner or speak for Decorner. You may not register any domain name, social handle, business name, trademark, or app name containing "Decorner" or a confusingly similar term.
5.3. You may not make claims about our products, pricing, availability, warranties, delivery times, or services beyond what is published on our website or supplied by us in writing. Do not invent product specifications, materials, dimensions, or origin claims.
5.4. Your content must not be, and must not appear alongside content that is, unlawful, defamatory, harassing, hateful, sexually explicit, violent, discriminatory, deceptive, or otherwise likely to bring Decorner into disrepute. You may not promote Decorner through spam, unsolicited bulk email or messaging, automated bots, purchased or artificially inflated engagement, malware, adware, cookie stuffing, forced clicks, iframe injection, or any other deceptive traffic-generation technique.
5.5. You retain ownership of content you create. You grant Decorner a perpetual, worldwide, royalty-free, sublicensable license to reproduce, display, adapt, and distribute content you publish featuring Decorner products or your Code, across our website, email, social media, paid advertising, and in-store displays, with attribution to your handle where practical. If you want a specific piece excluded from paid advertising, tell us in writing and we will honor the request going forward.
5.6. We may request removal or correction of any content that violates this Agreement. You will comply promptly, and in any event within five (5) business days of our request.
6. Commission
6.1. Commission rates
Your Commission rate is determined each calendar month by your Net Sales in that month:
| Your Net Sales in the calendar month | Commission rate |
|---|---|
| $0.00 – $4,999.99 | 5% |
| $5,000.00 – $9,999.99 | 7.5% |
| $10,000.00 and above | 10% |
The applicable rate applies to all of that month's Net Sales, not only the portion above a threshold. Rates are calculated fresh each calendar month; volume does not carry over, and reaching a higher tier in one month does not guarantee that rate in any later month. All amounts are in United States dollars (USD).
6.2. Definition of Net Sales
"Net Sales" means the merchandise subtotal of orders placed at decornerfurnitureboutique.com using your Code, measured after the 15% discount is applied, and excluding:
(a) sales, use, and other taxes; (b) shipping, freight, delivery, and handling charges; (c) white-glove installation, assembly, and other service fees; (d) gift card purchases; (e) tips, surcharges, and any other non-merchandise line item; (f) the full value of any order that is cancelled, refunded, returned, charged back, or found to be fraudulent; and (g) the refunded portion of any partially refunded order.
6.3. Attribution
Commission is earned only on orders that are completed, paid in full, and that record your Code at checkout. Attribution is determined solely by the Code recorded on the order in our Shopify records. We do not currently use cookie-based, link-based, or last-click attribution, and an order placed without your Code earns no Commission even if you can show you influenced it.
6.4. Adjustments and clawback
Orders may be refunded, returned, or charged back after a Commission has been calculated or paid. Where that happens, we will deduct the affected amount from your next Commission payment. If no further payment is scheduled, or the deduction exceeds your next payment, you agree to repay the excess within thirty (30) days of our written request. We may also reverse Commission attributable to a violation of this Agreement or to fraudulent, self-dealing, or artificially generated orders.
6.5. Our records govern
Commission, Net Sales, and tier determinations are calculated from Decorner's own order records. Those records govern in the event of a discrepancy. The dashboard figures described in Section 8 are provided for your convenience, may lag actual order activity, and are not a statement of account. If you believe a figure is wrong, notify us within sixty (60) days of the end of the month in question and we will review it in good faith; after sixty (60) days, that month's figures are final.
7. Payment
7.1. Payment date. Commission earned in a calendar month is paid on or about the seventh (7th) day of the following month. If the 7th falls on a weekend or U.S. federal holiday, payment is issued on the next business day. Payment is personal and individual; we do not publish payment amounts.
7.2. Hold period. We may hold Commission on an order until the applicable return window has closed and payment has cleared, which may defer a given order's Commission to a later payment cycle.
7.3. How we pay: PayPal. All Commission is paid in United States dollars (USD) by PayPal. Before your first payment you must give us the email address of a PayPal account that is able to receive payments in your country, and keep that address current. You are responsible for maintaining your PayPal account in good standing.
(a) Your relationship with PayPal is governed by PayPal's own terms, not this Agreement. Any PayPal receiving fee, currency-conversion charge, or withdrawal fee is yours to bear and is not reimbursed or added to your Commission.
(b) The tier thresholds in Section 6.1 are measured in USD regardless of where you are located. If you hold or withdraw in another currency, the applicable exchange rate is PayPal's at the time of transfer; we have no control over that rate and make no representation about it.
(c) We are not liable for a payment that is delayed, returned, frozen, or misdirected because of inaccurate details you supplied, because of a limitation or closure on your PayPal account, or because of a decision by PayPal. Where a payment is returned to us, we will reissue it once you provide working details.
7.4. Taxes — your responsibility. You are solely responsible for determining, reporting, and paying every tax, levy, duty, social contribution, and VAT or GST obligation arising from your Commission, in every jurisdiction where you are liable. Commission is paid gross. We do not withhold, remit, file, or advise on taxes on your behalf, and we do not provide tax advice.
(a) Because Commission is paid through a third-party payment network, any recipient tax reporting associated with those payments is handled by that provider under its own terms and thresholds, directly with you. You are responsible for supplying your tax information to the payment provider when it asks.
(b) If applicable law requires us to collect a tax form, certification, or identification number from you, or to withhold an amount from your payment, you will provide what we request promptly, and we may withhold payment until you do. This is the only circumstance in which we will ask you for tax paperwork.
(c) You are responsible for whether your Commission is taxable income where you live, and for any registration (for example, as a sole trader or for VAT) that your own country requires of you. Nothing we pay you should be read as a determination of your tax status.
7.5. No minimum. There is no minimum balance requirement; any Commission owed for a month is paid in that month's cycle.
7.6. Unclaimed amounts. If a payment cannot be delivered because of inaccurate details you provided and you do not respond to two (2) written attempts to reach you over ninety (90) days, we may treat the amount as forfeited, subject to applicable unclaimed-property law.
8. The Creator Dashboard and Leaderboard
8.1. On approval you may create an account on the Decorner creator dashboard. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly if you suspect unauthorized access.
8.2. What other creators can see about you. The dashboard includes a leaderboard visible to all Program participants. It displays, for each participant, a display name, social handle, and total monthly sales volume. By participating in the Program you consent to the display of that information to other participants.
8.3. What stays private. Your Commission rate, Commission amount, payment history, contact information, and payment details are not shown to other participants. They are visible only to you and to authorized Decorner personnel, and are sent to you individually.
8.4. You may not scrape, republish, or redistribute other participants' leaderboard data outside the Program, or use it for any purpose other than your own participation.
8.5. The dashboard is provided as a convenience, on an "as is" basis. It may be unavailable, interrupted, or inaccurate at times, and may lag behind actual order activity. Section 6.5 governs any discrepancy.
9. Privacy and Use of Your Information
9.1. What we collect. In connection with the Program we collect the information you submit in your application (name, social handles, email address, telephone number, and any optional details you provide); records of your consent to this Agreement, including the date and time, the version of this Agreement you accepted, and the IP address from which you submitted it; your Code and the sales and Commission records associated with it; and, if you are approved, your payment and tax information.
9.2. Why we collect it. We use this information to evaluate your application, administer the Program, issue and monitor your Code, calculate and pay Commission, meet our tax and accounting obligations, communicate with you about the Program, and maintain evidence of your agreement to these terms.
9.3. Who we share it with. We share information with service providers who help us operate the Program, including our e-commerce platform, database and hosting providers, email service, and payment and accounting providers, in each case only as needed to provide their service. We may disclose information where required by law, to enforce this Agreement, or in connection with a merger, acquisition, or sale of assets. We do not sell your personal information.
9.4. Retention. We retain application and consent records for as long as you participate and afterward for as long as needed to meet legal, tax, and recordkeeping obligations, and to resolve disputes.
9.5. Your rights. Depending on where you live, you may have rights to access, correct, delete, or obtain a copy of your personal information, and to withdraw consent. To exercise them, contact us at the address in Section 15. Note that we may need to retain certain records, including consent and tax records, even after you leave the Program. Withdrawing consent to the processing necessary to administer the Program will end your participation.
9.6. International transfers. Decorner operates in the United States. If you participate from outside the United States, your information will be transferred to, stored in, and processed in the United States and in other countries where our service providers operate, which may have different data protection laws than your own. By participating you consent to that transfer. Where required, we rely on your consent and on the transfer safeguards offered by our service providers.
9.7. Our general website Privacy Policy applies in addition to this Section. Where the two conflict as to the Program, this Section governs.
10. Confidentiality
Information we share with you that is not public — including unreleased products, pricing strategy, supplier terms, Program performance data about other participants, and internal business plans — is confidential. You will not disclose it to anyone or use it for any purpose other than participating in the Program. This obligation survives termination for three (3) years, and indefinitely for information that constitutes a trade secret.
11. Term, Suspension, and Termination
11.1. This Agreement begins when we approve your application and continues until terminated.
11.2. You may terminate at any time, for any reason, by written notice to us. Stop using your Code and our brand assets on termination.
11.3. We may terminate at any time, for any reason, with written notice. We may also suspend your Code or dashboard access immediately, without prior notice, if we reasonably believe you have breached this Agreement, engaged in fraud or deceptive practices, or created legal or reputational risk for Decorner.
11.4. Effect of termination. Your license to use our brand assets ends immediately and your Code is deactivated. We will pay Commission properly earned on qualifying orders placed before termination, in the ordinary payment cycle and subject to the adjustments in Section 6.4. Where we terminate for your breach, for fraud, or for a violation of Sections 3, 4, or 5, unpaid Commission is forfeited.
11.5. You will promptly remove or update content that implies an ongoing relationship with Decorner, and deactivate or remove your Code from published content, within ten (10) business days of termination.
11.6. Sections 5.5, 6.4, 6.5, 9, 10, 11.4, 12, 13, and 14 survive termination.
12. Disclaimers
12.1. We make no guarantee of earnings. The Program creates no promise, representation, or expectation of any particular level of sales, Commission, income, audience growth, or business outcome. Any figure, example, or other participant's results you encounter is illustrative only.
12.2. The Program, the dashboard, and our brand assets are provided "as is" and "as available," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
12.3. We do not guarantee product availability, pricing, delivery timing, or that any particular product you feature will remain in our catalog.
13. Limitation of Liability
13.1. To the maximum extent permitted by law, Decorner will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, lost audience, or loss of goodwill, arising out of or relating to the Program or this Agreement, whether in contract, tort, or any other theory, and whether or not we were advised of the possibility of such damages.
13.2. To the maximum extent permitted by law, Decorner's total aggregate liability arising out of or relating to the Program or this Agreement will not exceed the greater of (a) the total Commission we paid you in the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
13.3. Some jurisdictions do not allow certain exclusions or limitations of liability. Where that is the case, the exclusions and limitations above apply only to the extent permitted, and nothing in this Agreement limits liability that cannot lawfully be limited.
14. Indemnification
You will indemnify, defend, and hold harmless Decorner and its owners, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your content, statements, or promotional activity; (b) your breach of this Agreement; (c) your failure to disclose your material connection to Decorner as required by Section 4; (d) your violation of any law, regulation, or third-party right, including intellectual property, privacy, and publicity rights; or (e) any tax, penalty, or interest assessed because of your failure to report or pay taxes on your Commission.
15. Changes to This Agreement and to the Program
15.1. We may modify this Agreement or the Program, including the Commission rates, tier thresholds, Net Sales definition, payment schedule, and discount percentage. We will post the updated version with a new version number and effective date, and will notify you by email at least fourteen (14) days before a change takes effect where the change materially reduces your Commission rate, raises a tier threshold, or changes the payment schedule.
15.2. Changes apply prospectively. A change to Commission rates or tiers takes effect at the start of the first full calendar month after the notice period ends, so a month in progress is never recalculated against you.
15.3. Your continued participation after a change takes effect constitutes acceptance. If you do not accept a change, terminate under Section 11.2 before it takes effect.
16. General
16.1. Governing law and venue. This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in San Diego County, California have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue there. This applies wherever in the world you are located. Where the mandatory law of your own country gives you a right that cannot be waived by contract, this Section does not purport to waive it.
16.2. Informal resolution first. Before filing any action, you agree to contact us and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
16.3. No class actions. To the extent permitted by law, any dispute will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
16.4. Assignment. You may not assign or transfer this Agreement or your Program membership without our prior written consent. We may assign this Agreement, including in connection with a merger, acquisition, reorganization, or sale of assets.
16.5. Entire agreement. This Agreement is the entire agreement between you and Decorner regarding the Program and supersedes all prior discussions, proposals, and understandings, including any informal arrangement predating it. Where we agree separately in writing to different terms for a specific campaign, that writing controls for that campaign only.
16.6. Severability and waiver. If a provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the rest of the Agreement remains in force. Our failure to enforce a provision is not a waiver of it.
16.7. Notices. We may send notices to the email address in your application or dashboard profile; you are responsible for keeping it current. Send notices to us at the contact address below.
16.8. Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, except for payment obligations already accrued.
16.9. Contact. Decorner Furniture Boutique — support@decornerfurnitureboutique.com
17. Electronic Signature and Consent to Electronic Records
17.1. Your signature. By checking the consent box on the application form and submitting the form, you:
(a) confirm you have been given the opportunity to read this Agreement in full before accepting it, and that you have read, understood, and agree to be bound by it; (b) agree that checking the box is your electronic signature, with the same legal effect as a handwritten signature, under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act as adopted in California, and — if you are outside the United States — under the equivalent electronic-signature or electronic-transactions law of your own jurisdiction, to the extent it applies; (c) agree that this Agreement will not be denied legal effect, validity, or enforceability solely because it is in electronic form or was signed electronically; (d) confirm you are at least eighteen (18) years old and legally able to enter into a binding contract; (e) confirm the information you submitted is accurate and complete, and that you own or are the authorized operator of each account you named; and (f) confirm you are acting on your own behalf, or that you have authority to bind the business you named.
17.2. Consent to electronic records. You consent to transact business with us electronically and to receive all Program-related records, notices, and disclosures — including this Agreement, any amended version of it, payment and tax-related notices, and termination notices — electronically, by email and through the dashboard, rather than on paper. This consent applies to the entire time you participate in the Program.
17.3. What we record as evidence of your signature. At the moment you submit the form we create and retain a record containing: the version number of this Agreement as presented to you, the exact text of the consent statement you accepted, the date and time of your submission, the IP address you submitted from, and the browser you used. We retain that record for as long as you participate and afterward for as long as needed to meet legal and recordkeeping obligations. You may request a copy of your own signature record at any time, free of charge, at the contact address in Section 16.9.
17.4. Hardware and software you need. To access and retain these records you need: a device with an internet connection; a current version of a major web browser; an active email account capable of receiving mail from us; and the ability to view, download, print, and save PDF or HTML documents. If we change these requirements in a way that materially limits your ability to access or retain records, we will notify you and give you the opportunity to withdraw your consent without penalty before the change takes effect.
17.5. Your right to a paper copy. You may request a free paper copy of this Agreement, or of your signature record, by writing to the contact address in Section 16.9. We will not charge you for it.
17.6. Your right to withdraw consent. You may withdraw your consent to receive records electronically at any time by writing to the contact address in Section 16.9. Because the Program is administered entirely electronically, withdrawing that consent will end your participation in the Program. Withdrawal takes effect only after we have had a reasonable opportunity to act on it, is prospective only, and does not affect the legal validity or enforceability of this Agreement or of any record, notice, or transaction completed before withdrawal.
17.7. Keeping your contact information current. We send notices to the email address in your application or dashboard profile. You are responsible for keeping it accurate and for telling us promptly if it changes, by updating your dashboard profile or writing to us.
Decorner Creator & Designer Program Agreement, version 1.0, effective October 6, 2026. Retain a copy of this Agreement for your records.
